1 Acceptance of Terms

By accessing, registering, or using the APEXRISE investment platform ("the Platform"), you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, you must not use this Platform.

These Terms constitute a legally binding agreement between you ("the User", "Investor", "you") and APEXRISE Capital Limited, a company registered in England and Wales under Company Number SC 140827 ("APEXRISE", "the Company", "we", "us").

2 Market Risk & Volatility Disclaimer

The investments offered through APEXRISE may be exposed to financial market conditions, including but not limited to foreign exchange fluctuations, equity market movements, commodity price changes, interest rate shifts, and cryptocurrency volatility.

• Market crashes — Sudden and significant declines in financial markets, asset values, or investment valuations, regardless of cause
• Market corrections — Declines in asset prices of 10% or more from recent highs
• Bear markets — Extended periods of declining market values across asset classes
• Flash crashes — Rapid, severe price declines occurring within minutes or hours
• Black swan events — Unpredictable, rare events with severe market consequences including pandemics, wars, natural disasters, or geopolitical crises
• Systemic failures — Failures in financial systems, banking infrastructure, or payment networks

3 Platform & Exchange Closure Risk

This includes, but is not limited to:

• Closure or delisting of any cryptocurrency exchange or trading platform
• Suspension of trading on any stock exchange, forex broker, or financial market
• Bankruptcy or liquidation of any financial institution or custodian holding investor funds
• Regulatory shutdowns, license revocations, or government-imposed trading restrictions
• Technical failures, cyberattacks, or security breaches resulting in loss of access to funds
• Inability to process withdrawals due to third-party platform downtime or policy changes

4 Uninsured Securities & No Deposit Insurance

By using this Platform, you acknowledge that:

• Your investments are not protected by the Financial Services Compensation Scheme (FSCS), FDIC, or any equivalent deposit guarantee scheme
• No regulatory body or government agency insures, guarantees, or backs any investment product offered through this Platform
• In the event of platform insolvency, administrator appointment, or liquidation, you may not recover any portion of your invested funds
• Past returns and profit figures do not indicate future performance and should not be relied upon as a guarantee of future results

5 Profit Credits & Daily Returns

APEXRISE may credit daily profit returns to your account based on the investment plan you have selected. These profit credits are subject to the following conditions:

• Daily profit percentages are applied to your invested capital and credited automatically at midnight (12:00 AM) each day
• Profit credits may be suspended, reduced, or discontinued without prior notice if market conditions, platform performance, or operational circumstances require it
• APEXRISE reserves the right to modify, pause, or permanently terminate the profit crediting mechanism at its sole discretion
• Profit figures shown on the Platform are indicative and not a contractual obligation
• Profits credited to your account do not constitute guaranteed income or fixed returns

6 User Obligations

By using the Platform, you agree to:

• Provide accurate, current, and complete registration information
• Maintain the security and confidentiality of your account credentials
• Notify APEXRISE immediately of any unauthorised access to your account
• Comply with all applicable laws, regulations, and anti-money laundering (AML) requirements in your jurisdiction
• Not use the Platform for any unlawful, fraudulent, or malicious purpose
• Not engage in market manipulation, wash trading, or any activity designed to artificially inflate or deflate investment returns
• Accept full responsibility for all investment decisions made through your account

7 Limitation of Liability

• Direct losses — Loss of invested capital, deposited funds, or expected profits
• Indirect losses — Loss of income, revenue, business opportunity, or anticipated savings
• Consequential damages — Losses resulting from market crash, platform closure, exchange bankruptcy, or regulatory action
• Force majeure events — Losses caused by acts of God, war, terrorism, pandemic, government action, sanctions, cyberattack, or natural disaster
• Third-party failures — Losses caused by failure of payment gateways, banks, exchanges, custodians, or other financial institutions

In no event shall APEXRISE's total aggregate liability to any user exceed the amount originally deposited by that user in the 12 months immediately preceding the event giving rise to the claim.

8 Withdrawals

Withdrawal requests are subject to the following conditions:

• Minimum and maximum withdrawal limits apply as set out in the Platform settings
• Withdrawals are processed to bank accounts or cryptocurrency wallets saved in your profile
• APEXRISE reserves the right to delay, suspend, or reject withdrawals that are flagged for security review, AML compliance, or suspicious activity
• Withdrawal processing times are not guaranteed and may be affected by technical, operational, or regulatory factors beyond APEXRISE's control
• Once a withdrawal has been processed and sent to your designated bank or wallet, APEXRISE bears no responsibility for delays, failures, or losses caused by the receiving financial institution or blockchain network

9 Intellectual Property

All content, branding, logos, software, designs, text, graphics, and trade marks displayed on this Platform are the property of APEXRISE Capital Limited or its licensors. You may not reproduce, distribute, modify, or create derivative works from any content on this Platform without prior written consent.

10 Account Suspension & Termination

APEXRISE reserves the right to suspend, restrict, or permanently terminate your account at its sole discretion, with or without cause, including but not limited to:

• Suspected fraudulent activity, identity theft, or impersonation
• Violation of these Terms and Conditions
• Failure to complete KYC (Know Your Customer) verification when requested
• Suspicious transaction patterns or AML red flags
• Abuse of the referral or bonus system

Upon termination, any remaining balance in your account may be held pending investigation, and APEXRISE reserves the right to withhold funds where there is reasonable suspicion of fraud or misconduct.

11 Amendments

APEXRISE reserves the right to amend, update, or modify these Terms and Conditions at any time without prior notice. Continued use of the Platform after any changes constitutes your acceptance of the amended terms. It is your responsibility to review these Terms periodically.

12 Governing Law & Jurisdiction

These Terms and Conditions shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

13 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.
